Please read these Terms of Service carefully before using the ShieldGraph platform. By using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using ShieldGraph ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Service Description

ShieldGraph provides an AI-powered attack surface management and security scanning platform. Our services include, but are not limited to:

•External attack surface discovery and mapping

•Automated vulnerability scanning and assessment

•AI-driven threat analysis and prioritization

•Security posture monitoring and reporting

•Integration with third-party security tools and workflows

The Service is provided on a subscription basis with various plan tiers. Feature availability depends on your subscription plan.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

•Maintaining the confidentiality of your account credentials

•All activities that occur under your account

•Notifying us immediately of any unauthorized access or use of your account

•Ensuring that your account information remains accurate and up to date

We reserve the right to suspend or terminate accounts that violate these Terms or that appear to be fraudulent.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree NOT to:

•Scan, probe, or test any system, network, or asset without proper authorization from the asset owner

•Use the Service to conduct attacks, exploit vulnerabilities, or cause damage to any system

•Attempt to gain unauthorized access to any system, data, or network through the Service

•Use the Service for any illegal activity, including unauthorized surveillance or data collection

•Reverse engineer, decompile, or disassemble any part of the Service

•Share scan results or vulnerability data with unauthorized third parties

•Use the Service in a manner that could harm, disable, or impair ShieldGraph or interfere with other users

•Resell, sublicense, or redistribute the Service without our written consent

•Use automated scripts to access the Service beyond published API rate limits

Violation of this policy may result in immediate termination of your account without refund.

5. Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan:

•All fees are stated in USD and are non-refundable except as required by law

•You authorize us to charge your payment method for all fees due under your subscription

•We may change pricing with 30 days advance notice; price changes take effect at the next billing cycle

•Failed payments may result in suspension of the Service after a 7-day grace period

•Taxes are not included in subscription prices and are your responsibility where applicable

•Annual plans may be eligible for early termination under specific conditions outlined at the time of purchase

6. Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is and remains the exclusive property of ShieldGraph and its licensors.

•The ShieldGraph name, logo, and all related marks are trademarks of ShieldGraph, Inc.

•You retain ownership of all data you submit to the Service ("Your Data")

•By using the Service, you grant us a limited license to process Your Data solely for the purpose of providing the Service

•Scan results and reports generated by the Service are licensed to you for your internal use during your active subscription

•You may not copy, modify, or create derivative works based on the Service or its proprietary technology

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

•ShieldGraph provides the Service "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied

•We do not warrant that the Service will identify all vulnerabilities or security threats

•We are not liable for any actions taken or not taken based on scan results or recommendations

•In no event shall ShieldGraph's total liability exceed the amount paid by you in the 12 months preceding the claim

•ShieldGraph shall not be liable for any indirect, incidental, special, consequential, or punitive damages

•We are not responsible for any damage or loss resulting from your failure to maintain adequate security controls

These limitations apply regardless of the theory of liability, whether based in contract, tort, negligence, strict liability, or otherwise.

8. Indemnification

You agree to indemnify, defend, and hold harmless ShieldGraph, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:

•Your use of the Service

•Your violation of these Terms

•Your violation of any applicable law or regulation

•Any unauthorized scanning or testing activities conducted through your account

•Your infringement of any third-party rights

9. Termination

Either party may terminate this agreement at any time:

•You may cancel your subscription through your account settings or by contacting us

•We may suspend or terminate your access immediately if you violate these Terms

•Upon termination, your right to use the Service ceases immediately

•We will retain Your Data for 30 days after termination, after which it will be permanently deleted

•Sections regarding Limitation of Liability, Indemnification, and Governing Law survive termination

•No refunds will be issued for partial billing periods unless required by applicable law

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware. You consent to personal jurisdiction in these courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
